Education Consultants ("Agents"):
- Licensed professionals who provide educational guidance services
- Upload verified student profiles and placement opportunities
- Receive competitive bids from education companies
- Track commissions and manage client relationships
Education Companies ("Companies"):
- Verified organizations providing educational services or placements
- Bid on student leads based on their service offerings
- Access AI-scored leads for optimal matching
- Process applications and provide educational services
Platform Provider:
- Convass provides technology infrastructure and neutral marketplace
- We are not education consultants or service providers
- We facilitate connections but do not provide educational services
3. User Accounts and Registration
3.1 Account Creation
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Be at least 18 years old or the age of majority in your jurisdiction
- Have legal authority to bind your organization to these Terms
3.2 Account Verification
For Education Consultants:
- Valid business license or professional certification
- Proof of educational consulting experience
- Identity verification and background checks
- Compliance with local regulatory requirements
For Education Companies:
- Business registration and licensing documentation
- Educational service accreditation or authorization
- Financial stability and payment capability verification
- Reference checks and industry reputation assessment
3.3 Account Responsibilities
- Maintaining accurate and up-to-date account information
- Safeguarding your login credentials
- All activities that occur under your account
- Immediately notifying us of unauthorized access
4. Platform Usage Rules
4.1 Permitted Uses
- Create and manage professional profiles
- Upload and manage student leads (Consultants only)
- Submit bids on available leads (Companies only)
- Track commissions and financial transactions
- Access analytics and performance reports
- Communicate through platform messaging systems
4.2 Prohibited Activities
- Provide false, misleading, or incomplete information
- Attempt to circumvent platform fees or payment obligations
- Contact other users outside the platform to avoid fees
- Upload malicious software or harmful content
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Harass, abuse, or harm other users
- Create multiple accounts or share account access
- Reverse engineer or attempt to access source code
- Use the platform for any unlawful purpose
4.3 Content Standards
- Be accurate, current, and truthful
- Comply with applicable privacy laws
- Respect intellectual property rights
- Be appropriate for professional business use
- Not contain discriminatory or offensive material
5. Lead Management and Bidding
5.1 Lead Submission (Consultants)
When submitting student leads, you represent and warrant that:
- You have proper authorization to share student information
- All information is accurate and complete
- You have obtained necessary consents for data sharing
- The student is genuinely seeking educational services
- You will honor successful placements through the platform
5.2 Bidding Process (Companies)
When bidding on leads, you agree to:
- Submit genuine, competitive bids based on your capabilities
- Honor successful bid commitments
- Process applications in good faith
- Provide agreed-upon services and support
- Complete transactions through the platform
5.3 Lead Matching and AI Scoring
- Our AI system scores leads on a 0-100 scale based on multiple factors
- Scoring algorithms are proprietary and subject to continuous improvement
- Lead matching considers AI scores, bid amounts, and compatibility factors
- We reserve the right to modify scoring criteria to improve outcomes
5.4 Deal Completion Requirements
- Successful matches must be completed through the platform
- Direct contact bypass attempts will result in account suspension
- Commission payments are processed only for platform-completed deals
- Dispute resolution must follow platform procedures
6. Payment Terms and Commission Structure
6.1 Platform Fees
For Education Consultants:
- Platform access is free for all verified education consultants
- No subscription fees or monthly charges
- No fees for lead uploads or bid management
For Education Companies:
- 1% transaction fee on successful placements
- Fee calculated on total commission value paid to consultant
- Additional premium features may incur separate charges
6.2 Commission Processing
- Convass facilitates commission payments between parties
- Standard commission tracking and transparency reporting
- Payments processed within agreed timeframes
- All financial transactions must occur through the platform
6.3 Payment Methods and Security
- Secure payment processing through verified payment providers
- Support for major credit cards, bank transfers, and digital payments
- PCI DSS compliance for payment data protection
- Fraud prevention and transaction monitoring
6.4 Refunds and Disputes
- Platform fees are non-refundable except in cases of platform error

7. Intellectual Property Rights

10. Service Availability and Modifications
